Did you already read the upgrade instructions from this page? http://nagios.sourceforge.net/docs/3_0/upgrading.html

I referenced that document and the Fedora Quickstart guide (http://nagios.sourceforge.net/docs/3_0/quickstart-fedora.html) to upgrade from 3.3.1 to 3.5.0 on an SL6 machine.
