Depends on how you installed. If by source, per the UPGRADING document

If you're upgrading from an earlier version of Nagios 2.x, upgrading is

can simply recompile and install the new binaries and web interface and 
you'll be good to go."

For step by step --

Get the sources and untar
cd to source dir
./configure --with whatever options you used previously
make
/etc/init.d/nagios stop
make install
/etc/init.d/nagios start
PROFIT!?
